These Terms of Use and End-User Licence Agreement (the “Terms”) govern access to and use of the Business Vital Signs / Biz Vital Signs platform, website, web application, mobile application, integrations, reports, content, early-access features and related services (collectively, the “Service”).
For the current Canada-first development and commercialization stage, the Service is operated by Biz Vitals Signs &Technologies, incorporated in Saskatchewan, Canada (“BVS Canada”). Biz Vitalsigns Ltd, Lagos, Nigeria (“BVS Nigeria”), is intended to support future Nigeria operations and may become the applicable local contracting entity if and when BVS launches services in Nigeria. Unless a specific order form, checkout page or local service notice states otherwise, references to “BVS,” “we,” “us,” or “our” mean BVS Canada for current Canadian use of the Service.

By creating an account, clicking to accept these Terms, connecting a third-party service, participating in a BVS test or pilot, or otherwise using the Service, you agree to these Terms and the BVS Privacy Policy. If you use the Service for a company or other organization, you represent that you are authorized to accept these Terms on its behalf.
If you do not agree, do not use the Service.
1. Current service stage
BVS is currently in development and pre-commercialization. Certain functionality may be available only in development, sandbox, pilot, controlled-test, beta or early-access form. Features may change before commercial launch.
BVS intends to offer paid plans following a trial period when commercial service becomes available. Until BVS activates a paid plan and presents applicable pricing and billing terms to you, these Terms do not create an obligation to pay subscription fees solely because you participate in a development test, pilot or free trial.
A feature shown in a roadmap, demonstration, mock-up, design, development environment or future-product description is not guaranteed to be available in production.
2. Eligibility and business use
You must be at least 18 years old and legally capable of entering into a binding agreement. The Service is designed for legitimate business use by business owners, founders, authorized staff, finance personnel, accountants, bookkeepers, advisers and other authorized business users.
If you act for an organization, you are responsible for ensuring that you have authority to create or administer its BVS workspace, connect third-party accounts, provide information to BVS, and invite or remove other users.
You may not use the Service in violation of applicable law, sanctions, trade restrictions, third-party rights or contractual obligations.
3. What BVS is designed to provide
Depending on release stage, account configuration and jurisdiction, BVS may provide or test functionality relating to:
- guided business Forecasts and assumptions;
- optional Budgets and short-term planning;
- QuickBooks Online connection and authorized accounting-data import;
- chart-of-accounts mapping and financial-data validation;
- actual-versus-Forecast and actual-versus-Budget comparisons;
- deterministic business-health metrics and Business Health Scores;
- dashboards, reports, alerts and insights;
- AI-assisted explanations, education and guided support;
- recommended actions and, where introduced, action tracking;
- accountant, bookkeeper or adviser collaboration; and
- other approved business-planning and decision-support functionality.
BVS is not a replacement for your accounting system of record. QuickBooks or another connected accounting platform remains responsible for the accounting records maintained in that system.
4. Important professional-advice limitation
BVS provides business-planning, financial-literacy, analytical, educational and decision-support tools. BVS is not an accounting firm, bookkeeping service, tax adviser, law firm, investment adviser, securities dealer, lender, broker, medical provider or fiduciary.
BVS does not replace your accountant, bookkeeper, tax adviser, lawyer, financial adviser, lender or other qualified professional. Forecasts, Budgets, scores, alerts, comparisons, AI-assisted explanations and recommendations may depend on assumptions, data quality, mapping, timing, formulas, configurations and third-party information.
You remain responsible for reviewing BVS outputs and for every business, accounting, tax, legal, financing, investment, payroll, employment and operational decision. Material decisions should be reviewed with an appropriately qualified professional when warranted.
BVS may use health-inspired terminology as a business metaphor. It does not provide medical advice or medical services.
5. Account security and workspace administration
You must provide accurate account information and keep it current. You are responsible for safeguarding your credentials, devices and recovery information and for promptly notifying BVS of suspected unauthorized access.
A business workspace may have one or more owners, administrators or authorized users. Workspace permissions control who may view, manage or share information. You are responsible for removing users who should no longer have access and for ensuring invited users are authorized.
BVS may suspend access while a dispute about workspace ownership or authority is investigated.
6. Your data and your responsibilities
“Customer Data” means information, files, assumptions, financial data, messages, records and other materials that you or your authorized users enter, upload, create, connect, import or otherwise make available through the Service.
As between you and BVS, you retain ownership of Customer Data. You grant BVS a limited, non-exclusive right to host, process, transmit, display and use Customer Data only as reasonably necessary to provide, secure, support, maintain and improve the Service, comply with law, enforce these Terms, and carry out the purposes described in the Privacy Policy.
You represent that you have the rights, authority, notices and consents required to provide Customer Data to BVS. You should not submit information that is unnecessary for BVS functionality, including bank passwords, Intuit passwords, full payment-card data, Social Insurance Numbers, government identifiers, personal health information or other highly sensitive personal information unless BVS expressly requests and supports that category of data.
You are responsible for the accuracy and completeness of Customer Data and should retain any source records your business is legally or operationally required to maintain.
7. QuickBooks Online integration
If you connect QuickBooks Online, you authorize BVS to access the QuickBooks company and data you select through Intuit’s authorization process. You must have authority to connect that company.
BVS does not ask you to provide your Intuit password directly to BVS. Intuit controls the QuickBooks authentication and consent process. BVS may receive authorization credentials and a company identifier that permit BVS to access the QuickBooks company you authorized.
For the current intended launch use case, BVS is designed to use authorized QuickBooks data to support company identification, chart-of-accounts import, account mapping, financial-data validation, financial reporting inputs, actual-versus-plan comparisons and related business-health functionality. The exact production API scopes and data objects will be limited to those required for enabled BVS functionality.
Authorization is not the same as completed integration. BVS may require you to confirm the selected QuickBooks company, review imported accounts, approve or correct mappings, resolve unmapped items, and complete reconciliation or validation before imported values are treated as trusted actual information.
QuickBooks actuals remain distinct from BVS Forecast and Budget assumptions unless you expressly perform an approved planning action that changes them.
The current BVS launch design is intended to be read-only with respect to accounting transactions. If a future BVS feature is permitted to create, change or delete information in QuickBooks, BVS will disclose the feature and require any additional authorization or confirmation that applies before such functionality is enabled.
You may disconnect QuickBooks through an available BVS control or through Intuit. Disconnecting stops future access after revocation is processed but does not necessarily delete information already imported into BVS. The Privacy Policy explains deletion and retention.
QuickBooks and Intuit are trademarks of Intuit Inc. BVS is an independent service and is not endorsed by Intuit merely because it uses Intuit APIs.
8. Forecasts, Budgets, metrics and Business Health Score
Forecasts and Budgets are planning tools based on assumptions. They are not guarantees, audited financial statements, tax filings, valuations, financing approvals or promises of future performance.
Where BVS calculates KPIs, comparisons or a Business Health Score, the result may depend on the applicable period, available data, mapping, data freshness, confidence, coverage, formulas and critical rules. Missing or unreliable data may prevent BVS from displaying a score or may limit the confidence of an output.
You should review the underlying source, period, assumptions and explanation before relying on an output.
9. AI-assisted features
BVS may use artificial intelligence to explain screens and results, summarize information, guide onboarding, identify missing context, suggest questions or propose possible next steps.
AI is an enabling layer and is not the authoritative source for deterministic BVS financial calculations, account mapping rules, comparisons, Business Health Score calculations or critical alerts where tested application logic is required.
AI outputs may be incomplete, inaccurate or unsuitable. You must review important outputs against underlying BVS data and seek professional advice where appropriate.
You must not use BVS AI features to create unlawful, harmful, discriminatory, deceptive, infringing or abusive content or to make high-impact decisions about individuals without appropriate human review and legal authority.
10. Licence to use the Service
Subject to these Terms, BVS grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Service for your authorized internal business purposes during the period in which you are permitted to use it.
You may not, except where applicable law expressly permits it:
- copy, sell, rent, sublicense or commercially redistribute the Service;
- reverse engineer, decompile or attempt to obtain source code or non-public models from the Service;
- bypass security, access controls, usage limits or technical restrictions;
- access another customer’s workspace or data without authorization;
- use the Service to develop or train a competing product by systematically extracting non-public BVS materials or outputs;
- scrape, crawl or automate access in a manner that harms availability or security; or
- remove proprietary notices.
11. BVS intellectual property
BVS and its licensors retain all rights in the Service, software, user experience, branding, documentation, methodologies, formulas, workflows, prompts, templates and other BVS materials, excluding Customer Data and third-party materials.
Feedback you voluntarily provide may be used by BVS to improve the Service without payment or restriction, provided BVS does not publicly identify you as the source without permission.
12. Trial, future paid plans and billing
BVS is currently pre-commercial. When BVS introduces paid subscriptions, the applicable trial period, price, currency, billing frequency, taxes, renewal terms and cancellation terms will be shown before you commit to a paid plan.
Where a trial converts to a paid subscription, BVS will provide the disclosure and consent required by applicable law and the checkout flow before charging you. BVS will not rely on these Terms alone as permission to charge a payment method that you have not authorized for a paid plan.
Future paid plans may renew automatically where disclosed and permitted by law. You will be able to cancel in accordance with the plan terms presented at purchase. Fees already incurred may be non-refundable except where the applicable plan, BVS policy or law provides otherwise.
Payment processing may be performed by a third-party payment provider. Additional provider terms may apply.
13. Acceptable use
You must not use the Service to:
- violate law or third-party rights;
- gain unauthorized access to systems or data;
- introduce malicious code;
- interfere with the Service or other users;
- misrepresent identity or authority;
- upload information you are not authorized to use;
- misuse financial information for fraud or unlawful discrimination; or
- use BVS outputs as a substitute for required licensed professional judgment in a way that violates law.
14. Third-party services
The Service may depend on or link to third-party providers such as accounting systems, hosting providers, communication providers, AI providers, analytics providers or payment processors. BVS does not control third-party services and is not responsible for outages, policy changes or actions outside BVS’s reasonable control.
Your use of a third-party service is also governed by your agreement with that provider.
15. Beta, pilot and early-access features
Development, beta, pilot and early-access features may be incomplete, change without notice, contain errors or be unavailable. You should not use an experimental feature as the sole basis for a material financial or business decision.
BVS may collect feedback and usage information from authorized test participants to improve the Service in accordance with the Privacy Policy.
16. Availability, changes and support
BVS aims to provide a reliable Service but does not guarantee uninterrupted availability. Maintenance, security events, provider outages, internet failures and development changes may affect access.
BVS may modify, suspend or discontinue a feature where reasonably necessary for security, compliance, product quality, technical reasons or business operations. Where a material commercial feature is discontinued, BVS will provide notice where reasonably practicable and required.

17. Confidentiality
If BVS or a customer receives non-public confidential information from the other party in connection with the Service, the receiving party must use reasonable care to protect it and use it only for authorized purposes, except where disclosure is required by law or expressly permitted.
Customer Data is treated in accordance with the Privacy Policy and applicable data-protection obligations.
18. Privacy and data protection
BVS’s collection, use, disclosure, retention and deletion of personal information are described in the BVS Privacy Policy. You agree to provide notices and obtain consents required for personal information you submit about other individuals.
Where BVS Nigeria later processes information for Nigeria-based services, applicable Nigerian data-protection requirements may also apply.
19. Suspension and termination
You may stop using the Service at any time. Where available, you may close your account or request closure through BVS support.
BVS may suspend or terminate access if reasonably necessary because of a material breach of these Terms, suspected fraud, security risk, unlawful activity, non-payment after paid plans launch, third-party platform restrictions, or a legal requirement.
Where practical, BVS will provide notice and an opportunity to remedy a curable breach.
20. Data export and deletion after termination
BVS intends to provide account owners with controls to delete their BVS data or request deletion, subject to authentication, legal obligations, security requirements, dispute preservation and records BVS is required to retain.
Before deleting a business workspace, you should export information you need to retain. Deletion may permanently affect Forecasts, Budgets, mappings, comparisons, reports, AI history and other BVS records.
Specific retention and deletion practices are described in the Privacy Policy.
21. Disclaimers
To the maximum extent permitted by applicable law, the Service is provided on an “as is” and “as available” basis. BVS does not warrant that the Service will be uninterrupted, error-free, or suitable for every business purpose or that every output will be accurate or complete.
BVS does not guarantee business success, profitability, financing, investment returns, tax outcomes, grant approval, lending approval, compliance outcomes or the prevention of business failure.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
22. Limitation of liability
To the maximum extent permitted by law, BVS will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, business opportunity, goodwill or data, arising from or related to the Service, even if the possibility was known.
Where liability cannot be excluded, BVS’s aggregate liability arising out of or relating to the Service will be limited to the greater of (a) the amount you paid BVS for the Service during the six months immediately preceding the event giving rise to the claim, or (b) CAD $100 if you were using a free, development, beta or trial version of the Service, except where applicable law requires a different result.
This limitation does not apply to liability that cannot legally be limited or excluded.
23. Indemnity
To the extent permitted by law, you agree to indemnify and hold BVS harmless from third-party claims arising from Customer Data you were not authorized to provide, unlawful use of the Service, your material breach of these Terms, or your violation of another person’s rights. This obligation does not apply to the extent a claim was caused by BVS’s own unlawful conduct.
24. Governing law and disputes
For use contracted through BVS Canada, these Terms are governed by the laws of Saskatchewan and the applicable federal laws of Canada, without regard to conflict-of-law principles. Subject to any mandatory consumer or statutory rights, disputes will be brought before the courts located in Saskatchewan, Canada.
If BVS later offers Nigeria-based services through BVS Nigeria, BVS may publish or present Nigeria-specific supplemental terms, and mandatory Nigerian law may apply to those services.
Before commencing formal proceedings, the parties should first attempt in good faith to resolve the dispute by contacting helpdesk@bizvitalsigns.com.
25. Changes to these Terms
BVS may update these Terms to reflect changes to the Service, commercial model, technology, third-party providers or legal requirements. BVS will post the updated Terms and change the “Last updated” date.
Where changes are material, BVS will provide reasonable notice through the Service, email or another appropriate method and obtain acceptance where required by law.
26. General terms
If part of these Terms is unenforceable, the remaining provisions continue in effect. BVS’s failure to enforce a provision is not a waiver. You may not assign these Terms without BVS’s prior written consent, except as permitted by law. BVS may assign these Terms as part of a corporate reorganization, financing, merger, acquisition or sale of the relevant business, subject to applicable law.
These Terms, the Privacy Policy, and any applicable order form, plan terms or supplemental terms constitute the agreement regarding the Service and supersede earlier conflicting terms for the same subject matter.
